Article I - Name and
Location
Section 1 - The name of the association shall be Downtown Merchants of
Rosenberg herein noted as DMOR.
Section 2 - The office, principal
place of business and permanent headquarters of DMOR shall be in
Rosenberg, Texas.
Article II -
Purpose
Section 1 - DMOR shall be formed to unite businesses and their employees
in Historic Downtown
Rosenberg
for the common good.
Section 2 - DMOR will work for
the good of all members in advertising and promotion of the businesses.
Section 3 - DMOR will work for
the professional and ethical ideals of good business practices.
Article
III - Membership
Section 1 - DMOR shall be open to all Historic Downtown Rosenberg
businesses and their employees who are paid members in good standing.
Article
IV - Dues
Section 1 - The amount of yearly dues shall be voted on by the membership.
Section 2 - Membership fee may be
accepted at any time and will represent a 12 month membership.
Article V - Officers
Section 1 - The officers shall be President, Secretary and Treasurer, each
with a term of one year and shall be determined by a simple majority vote
of the membership.
Section 2 - Elections of officers
shall be held in January of each year at a regular meeting.
Section 3 - Any subcommittee
shall be volunteer and shall present a list of options to the general
membership.
Section 4 - The officers shall be responsible for the following:
a) arranging all meetings.
b) administering all business.
c) receiving and considering
recommendations from any members and presenting them to the general
membership for approval and action.
d) having general supervision of
the affairs of the association and performing such other duties as deemed
necessary to carry out the business of the association.
e) Officers must not miss more than two consecutive meetings and dues must
be kept current.
Article VI - Structure and Representation
Section 1 - The government of this organization shall be vested in the
membership.
Article
VII - Amendments
Section 1 - These by-laws may be amended at any meeting of the general
membership by a simple majority vote, provided notice of the proposed
amendment has been given to members at least seven (7) days prior to the
general business meeting.
Article
VIII - Parliamentary Authority
Section 1 - Robert's Rules of
Order, Newly Revised, shall be the parliamentary authority in all cases
not otherwise stated in the by-laws.
